Internal rules of conduct relating to trading in the securities market
The present consolidated text of the Internal Code of Conduct in Securities Markets (hereinafter, the "Regulations") has been approved by the Board of Directors of Laboratorios Farmacéuticos Rovi, S.A. (Hereinafter referred to as the "Company") held on July 27, 2016, pursuant to the mandate established in article 225.2 of the consolidated text of the Securities Market Law approved by Royal Legislative Decree 4/2015, of June 23, October (hereinafter the "LMV"). This current version has been updated after the entry in force of the Royal Legislative Decree 19/2018, of November 23, for its adaptation to Regulation (EU) Nº 596/2014 of The European Parliament and The Council of 16 April 2014 on market abuse (Hereinafter referred to as the "RAM") and approved by the Board of Directors of the Company held on May 7, 2019.
The purpose of this Regulation is to adjust the actions of the Company, its management bodies, employees and other persons subject to the rules of conduct which, in the exercise of activities related to the securities market, must respect the previous ones, contained in the (EU) 596/2014 of the European Parliament and of the Council of 16 April on market abuse (hereinafter referred to as "AMR") and its implementing provisions.
